Avrasya Petrol Ve Turistik Tesisler Yatırımlar A.Ş. (AVTUR), in a statement published on its disclosure platform, revealed that the Ordinary General Assembly Meeting will take place on May 20, 2026, at 14:00 in Istanbul, where the company’s headquarters are located. The agenda includes the approval of the 2025 Management Report, the Independent Auditor’s Report, and the approval of the 2025 Balance Sheet and Income Statement. According to the company’s financial statements, AVTUR generated a profit of 60.410.913 lira in 2025 under the Sermaye Piyasası Mevzuatı (TMS/TFRS). However, the actual profit was 214.937.905 lira, as per the legal records. A reserve of 8.879.726 lira was set aside for the First Supplementary Reserve. The remaining profit amounted to 51.531.187 lira under the Sermaye Piyasası Mevzuatı, while the legal records indicate a profit of 206.058.179 lira. The Management Board proposes transferring this profit to the Extraordinary Reserve Account.
During the General Assembly, the share capital limit of 225.000.000 liras will be extended by five years. This amendment will be valid from 2026 to 2030, as per the Sixth Article of the Articles of Association. The Sixth and Fourth Articles of the Articles of Association will also undergo changes. The provision of Facility and Plant Management Services will be added to the company’s business scope. Other agenda items include the determination of the Independent Auditor for the year 2026, information on the 2025 grants, the setting of the 2026 grant ceiling, information on the repaid payments from 2025, and the decision on the payback program for 2026 and the granting of authority to the Management Board.
As of April 22, 2026, AVTUR’s withdrawn capital will be at a level of 45.000.000 liras. The Sermaye A Group consists of these withdrawals, with a nominal value of 30.000 liras. The dividend payouts’ shareholder percentage is 0.07%, and the voting rights percentage is also 0.07%. The nominal value of the B Group payouts is 44.970.000 liras. The dividend payout percentage is 99.93%, and the voting rights percentage is 99.93%.
